1. Acceptance of Terms: By accessing and using the Kreuz Logistics LLC customer portal located at https://tms.kreuzlogistics.com/, you agree to be bound by the following terms and conditions. Acceptance of these terms and conditions is confirmed by clicking "Accept Terms and Conditions."

2. Authorized Use: The customer portal is intended for use by authorized representatives of shippers/customers and all supporting staff including accounting who have been granted access by Kreuz Logistics LLC. Unauthorized access or use of the portal is strictly prohibited.

3. Confidentiality: All information accessed through the customer portal, including shipment details, rates, and other proprietary information, is confidential and may not be disclosed to third parties without the express consent of Kreuz Logistics LLC.

4. Accuracy of Information: Shippers/customers and all supporting staff including accounting are responsible for providing accurate and up-to-date information when using the customer portal, including shipment details, pickup and delivery instructions, and billing information.

5. Payment Terms: Payment terms for freight services provided by Kreuz Logistics LLC are 30-day payment terms unless otherwise agreed in writing and signed by both parties. Failure to adhere to payment terms may result in suspension or termination of access to the customer portal.

6. Limitation of Liability: Kreuz Logistics LLC shall not be liable for any damages, losses, or expenses arising from the use of the customer portal or the transportation services provided, including but not limited to delays, damages to cargo, or financial losses.

7. Indemnification: Shippers/customers, all supporting staff including accounting, contractors, and subcontractors agree to indemnify and hold harmless Kreuz Logistics LLC and its affiliates from any claims, liabilities, damages, or expenses arising from their use of the customer portal or the transportation services provided.

8. Intellectual Property Rights: The customer portal and its contents, including but not limited to software, logos, trademarks, and proprietary information, are the property of Kreuz Logistics LLC and are protected by intellectual property laws. Unauthorized use or reproduction of any content is prohibited.

9. Jurisdiction: Kreuz Logistics LLC is an Indiana entity providing logistics services in the United States and Canada. These terms and conditions shall be governed by and construed in accordance with the laws of the State of Indiana. Any disputes arising under these terms and conditions shall be subject to the exclusive jurisdiction of the courts in Indiana.

10. Termination of Access: Kreuz Logistics LLC reserves the right to terminate or suspend access to the customer portal at any time and for any reason, without prior notice.

11. Changes to Terms: Kreuz Logistics LLC reserves the right to modify or update these terms and conditions at any time. Shippers/customers and all supporting staff including accounting are responsible for regularly reviewing the terms and conditions for any changes.

12. Severability: If any provision of these terms and conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
